Appendix A: Appropriate Business Practices

The Referral Partner agrees to adhere to the following business principles:

The Referral Partner will not act as a funding portal or broker-dealer by: (i) processing transactions in Reg CF campaigns; (ii) accepting funds from investors in Reg CF campaigns; (iii) take possession of any investment crowdfunding securities; provide any of the notices, educational material, or information to investors required to be provided by a person acting as an intermediary in a transaction involving the offer or sale of securities under section 4(a)(6) of the Securities Act of 1933.

The Referral Partner will not receive compensation, directly or indirectly, from Honeycomb Credit, Inc., including its subsidiaries and affiliates, for the purchase or sale of securities in reliance on the Crowdfunding Exemption on or through Honeycomb Portal.

Should Referral Partner -affiliated business launch a Regulation Crowdfunding campaign on Honeycomb, The Referral Partner is encouraged to direct potential investors to Honeycomb-hosted campaign pages. The Referral Partner will not, directly or indirectly, advertise the terms of Regulation Crowdfunding offerings, including: the amount of the security offered; the type of security (debt); the interest rate of the security; the closing date of the offering

Appendix B: Qualifying Criteria for Referrals

Referrals must meet the following criteria to be eligible for a referral bonus:

Clearly communicated capital need and use of funds for a project exceeding $25,000

At least 500 social media followers on a business social media page (Facebook, Instagram, etc.)
